The Master Subscription Agreement ("MSA") is the contract an Organization signs with Melora Connect, Inc. ("Melora") to subscribe to Melora Connect. It has two parts: an Order Form prepared for each Organization, and our published terms, which the Order Form makes part of the agreement.
In plain English: you sign one agreement. Your Order Form says what you are buying, for how long and what you pay. The published terms below say how the Service works, what we promise and how we protect your data and your members' data.
1. What the MSA is made of
1.1 The Order Form. Your plan and its capacity (members, contacts, emails a month and admin users), the services and prices agreed, the Subscription Term, the payment terms, and the signatures of both Parties. Each Order Form is prepared for one Organization and signed electronically.
1.2 Our published terms. These documents are part of every MSA:
- Definitions: the meaning of the capitalized terms used in the MSA.
- Terms of Service: the core terms for using Melora Connect, including fees, renewal, cancellation, your data, liability and governing law.
- Service Level Agreement: availability, support response times and service credits.
- Data Processing Agreement: how Melora processes personal data on your behalf.
- Subprocessors: the providers that process personal data for Melora.
1.3 Capitalized terms not defined in the Order Form have the meanings given in the Definitions.
2. Order of precedence
2.1 The Order Form controls over the published terms on anything it specifies. On everything else, the published terms apply.
3. Subscription Term and renewal
3.1 The Subscription Term and the payment terms are set in your Order Form. Renewal, renewal pricing and notice follow the Terms of Service.
4. Requesting an MSA
4.1 To request an MSA for your Organization, or a sample to review with your legal team, write to legal@meloraconnect.com.
